iOrderSmart Terms of Use
This website and platform ("iOrderSmart", the "Platform") is a product of Tech4Trade Limited, a company incorporated in Hong Kong (Certificate of Incorporation No. 2148310, dated September 24, 2014). Any and all use of this Platform is subject to, and constitutes acknowledgment and acceptance of, the following Terms of Use ("Terms").
Tech4Trade Limited may amend these Terms at any time by posting the amended version on this site. The amended version becomes effective upon posting, except where a Specific Service requires advance notice under its Specific Terms (see §2).
1. Definitions
- "Company Agent" / "AI Agent" — a software agent (e.g., Nova) provisioned with a user account on the Platform to act on behalf of, or in support of, a Company, subject to §9 (Use of Artificial Intelligence).
- "Force Majeure Event" — an event beyond a party's reasonable control, including acts of God; fire; flood; explosion; storm; disaster; power or telecommunications failure; server or connectivity failure; epidemic or quarantine restriction; government action; war, insurrection, or civil unrest; strikes or labour disputes; supplier failure or delay; or inability, after due diligence, to procure necessary materials, equipment, or services.
- "iOrderSmart Content" — all design, content, or materials (including text and images) in the Platform, all files within it, and all data within such files, excluding Third Party Content.
- "iOrderSmart Group" — Tech4Trade Limited, GIS Holdings Limited (Hong Kong), and their respective subsidiaries and affiliated operating entities from time to time, including regional operating entities that contract directly with Users in a given territory (see §2).
- "Overall Content" — iOrderSmart Content, Third Party Content, and any attachments transmitted through the Platform.
- "Specific Service" — a branded deployment or case-of-use built on iOrderSmart (for example, Importa México, operated by Soluciones Integrales G1S, S. de R.L. de C.V.), provided by a member of the iOrderSmart Group and subject to Specific Terms in addition to these Terms.
- "Specific Terms" — the terms and conditions applicable to a Specific Service, including those imposed by the relevant iOrderSmart Group member or agreed between a User and that member.
- "Third Party Content" — content or materials in the Platform whose titles, rights, and interests are owned by a Third Party Licensor rather than a member of the iOrderSmart Group.
- "User" — the individual, or the entity on whose behalf an individual acts, who accesses or uses the Platform, its services, or any Overall Content. A User may be a human or, where the context permits, an AI Agent acting under a Company's authorization (§9).
2. Platform vs. Specific Services — who you're contracting with
Tech4Trade Limited owns and licenses the iOrderSmart software. In most deployments, your direct contractual counterparty and the controller of your data is not Tech4Trade Limited but the regional or brand-specific operating entity running that Specific Service (for example, Soluciones Integrales G1S for Importa México). That entity's Specific Terms and Privacy Notice — published on its own site — govern the commercial relationship, pricing, invoicing, and locally applicable law for that service.
These Terms apply to every Specific Service as a baseline, in addition to that service's Specific Terms, except that:
- in the event of conflict or inconsistency between a provision of the Specific Terms and a provision of these Terms, the conflict is resolved in favor of whichever provision is more protective of Users and more specific to the Specific Service in question — Specific Terms addressing pricing, invoicing, local tax (e.g., CFDI), liability caps, or governing law for that service prevail over the general defaults in these Terms; and
- only to the extent such conflict cannot be resolved that way, these Terms prevail.
If you cannot identify which entity you are contracting with, contact us using the details in §15 before continuing to use the Platform.
3. Intellectual Property
Unless otherwise expressly stated:
- all titles, rights, and interests (including copyright) in iOrderSmart Content belong to Tech4Trade Limited and/or other relevant members of the iOrderSmart Group, and nothing herein confers on a User any title, right, or interest in it; and
- all titles, rights, and interests in Third Party Content belong to the respective Third Party Licensor, and nothing herein confers on a User any title, right, or interest in it.
Documents and data a User uploads (invoices, pedimentos, certificates, spec sheets, product photos, and similar) remain the User's property; the User grants the iOrderSmart Group a limited license to process them solely to provide the Services, including AI-assisted processing under §9.
4. Use of iOrderSmart Content
Users may use iOrderSmart Content solely and exclusively for personal or company-internal purposes, and may download and/or reproduce limited portions on an occasional, ad hoc basis for internal distribution, provided that:
- such use, reproduction, or distribution is not in any way competitive with the iOrderSmart Group's own use or distribution of similar content; and
- such content is reproduced and distributed with appropriate notices (including copyright notices) identifying Tech4Trade Limited and/or the relevant Group member as the source, and prohibiting further reproduction or distribution.
Downloading, reproducing, distributing, or using iOrderSmart Content does not transfer any title, right, or interest in it. Except as expressly permitted in this §4, Users may not copy, reproduce, modify, alter, reverse engineer, disassemble, sell, transfer, rent, license, publish, distribute, or otherwise allow access to iOrderSmart Content or Third Party Content — this includes a prohibition on using iOrderSmart Content or Overall Content to train, fine-tune, or evaluate any artificial intelligence or machine learning model outside the Platform, without our prior written consent. If the User is a corporation, this provision applies to any subsidiary, affiliate, or parent of that corporation.
5. Protection of Intellectual Property Rights
The User acknowledges that the Platform and iOrderSmart Content were developed by the iOrderSmart Group through substantial time, effort, and investment, and agrees to protect the Group's copyright and other intellectual property rights in the Platform and iOrderSmart Content, and to comply with reasonable written requests made by the Group in connection with protecting or enforcing those rights.
6. Updates and Modifications
All updates to, or additional, iOrderSmart Content and all new versions of the Platform are subject to these Terms as if each were the original content or Platform referred to herein. The iOrderSmart Group reserves the right to alter, modify, suspend, or discontinue all or part of the Platform, or the provision of updates, at any time.
7. No Endorsement of Third Parties
The iOrderSmart Group does not endorse, and makes no representation or warranty regarding, any third-party website hyperlinked to the Platform, or any product, service, information, or content offered by third parties in or through the Platform. Such third-party content is the sole responsibility of the relevant independent third party; a User's reliance on it is at the User's own risk and governed solely by any applicable agreement between the User and that third party.
8. Regulated Trade Activities
For products, sourcing, quality-control, or customs-related content appearing on the Platform (including via AI Agents), "relevant activities" means the import, export, storage, transportation, transit, customs clearance, delivery, use, advertising, display, offer, sale, supply, purchase, provision, or resale of a product, or any transaction or dealing in respect of it.
No member of the iOrderSmart Group represents or warrants that any product or relevant activity referenced on the Platform complies with, or will comply with, any applicable law, regulation, or third-party right — including customs, tariff-classification, sanctions, or trade-compliance requirements. Each User is solely responsible for its own due diligence, including consulting the relevant government or regulatory authorities and its own licensed customs broker, tax advisor, or legal counsel, before acting on any information, classification, or analysis obtained through the Platform, whether AI-generated or not (see §9). Each User shall fully indemnify, defend, and hold harmless the iOrderSmart Group and its directors, officers, employees, and agents against any liabilities arising from the User's acquisition, transaction, activity, or use of the Platform in connection with such products or relevant activities.
9. Use of Artificial Intelligence
The Platform includes AI-assisted features and AI Agents (collectively, "Nova" or equivalent branding used by a Specific Service) that may draft content, classify or analyze documents, query external regulatory or informational sources, and take actions within the Platform on a User's or Company's behalf.
- Advisory only. AI-generated output — including document analysis, tariff or regulatory classification, compliance flags, drafted text, and recommendations — is provided for informational and advisory purposes only. It does not constitute customs, legal, tax, or other professional advice, and does not replace advice from a licensed customs broker, accountant, or attorney. The User is solely responsible for any business, tax, customs, or legal decision made in reliance on AI output.
- No guarantee of accuracy. We do not warrant that AI output is accurate, complete, current, or fit for a particular purpose. AI models can make mistakes, including on regulated or high-stakes matters.
- Human accountability for AI Agents. Where a Company provisions or authorizes an AI Agent to act on its behalf on the Platform (chat, tasks, documents, or otherwise), the Company remains responsible for that agent's actions and outputs as if a human employee had performed them, and must maintain appropriate human review for decisions with legal, financial, or regulatory consequences.
- Disclosure. Where you are interacting with an AI Agent rather than a human user, the Platform will identify it as such (e.g., by name, role, or a visible indicator). Do not attempt to represent an AI Agent as a human user to a third party outside the Platform.
- Third-party model providers. AI features are processed using third-party language model providers (see the Privacy Policy and the separate AI Use Policy for current providers and data-handling terms). The specific providers used may vary by Specific Service and may change over time; the AI Use Policy is the authoritative, kept-current source.
- External data sources. For certain skills, your data may be sent to or queried against external regulatory systems, databases, or search services strictly as necessary to perform the requested task (for example, government trade or customs databases).
- No unauthorized third-party data. Do not upload or submit another person's or company's confidential, sensitive, or personal data to AI features unless you are authorized to do so and have a lawful basis for that disclosure.
- Acceptable use of AI features. You agree not to: automate consumption of AI credits or requests without human authorization where applicable; use the Platform's AI features to generate synthetic data en masse without consent; use AI output obtained through the Platform to train, fine-tune, or benchmark a competing product; or attempt to extract, reverse-engineer, or probe the underlying models or system prompts.
A separate AI Use Policy provides further detail on data flows, model providers, retention, and your rights, and is incorporated into these Terms by reference. Where a Specific Service publishes its own AI-specific notice (as Importa México does), that notice supplements — and in the event of conflict on Specific-Service details, prevails over — the general provisions of this §9 for that service.
10. Warranty Disclaimer
The Platform and Overall Content are made available "as is" and "as available", without representation or warranty of any kind, whether express or implied, including as to performance, merchantability, non-infringement, or fitness for a particular purpose, to the maximum extent permitted by applicable law. The iOrderSmart Group does not represent that the Platform will be uninterrupted, error-free, that all defects will be corrected, or that AI-generated output will be accurate (see §9). Third Party Content is provided "as is," without warranty.
Each party represents that it: (i) has the legal power to enter into these Terms; (ii) will comply with applicable law during the term of its use of the Platform; and (iii) will use reasonable efforts to avoid transmitting harmful or malicious code to the other party.
11. Exclusion and Limitation of Liability
To the maximum extent permitted by applicable law, no member of the iOrderSmart Group, nor its licensors, dealers, distributors, agents, or employees, shall be liable for any direct, indirect, special, incidental, consequential, punitive, or exemplary damages (including loss of data, business information, business interruption, or anticipated profits) arising out of the use of, or inability to use, the Platform or Overall Content — including AI-generated output — whether based on contract, tort, negligence, strict liability, or otherwise, and even if advised of the possibility of such damages. This exclusion does not apply to the extent prohibited by applicable law.
Subject to the express exclusions above, the aggregate liability of Tech4Trade Limited and the iOrderSmart Group under these Terms shall in no event exceed one United States dollar (US$1.00), unless a Specific Service's Specific Terms set out a different (and more specific) liability cap for that service, in which case the Specific Terms' cap governs for that service under §2.
12. Infringement, Violations, and Indemnification
Each User agrees not to use the Platform in any manner that infringes or violates, or might infringe or violate, any intellectual property or other right of any person, or any applicable law or regulation — including trade-compliance, customs, and sanctions law. Each User who acquires a product, undertakes a transaction, or otherwise acts in connection with the Platform bears sole responsibility for that acquisition, transaction, or activity, and shall indemnify, defend, and hold harmless the iOrderSmart Group and its directors, officers, employees, and agents against all claims, damages, losses, liabilities, and costs (including reasonable legal costs) arising from or in connection with it.
13. Entire Agreement; Waivers; Illegality
These Terms, together with any applicable Specific Terms, constitute the entire agreement between the parties with respect to their subject matter, and supersede prior representations or agreements on that subject matter. A party's purchase order or similar instrument does not vary these Terms. Failure to enforce any provision is not a waiver of it. If any provision is or becomes illegal, invalid, or unenforceable, it shall be modified or severed to the minimum extent necessary, without affecting the remaining provisions.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of Hong Kong. Users submit to the non-exclusive jurisdiction of the courts of Hong Kong and/or such other courts of competent jurisdiction as Tech4Trade Limited may in its discretion deem fit — except where a Specific Service's Specific Terms specify a different governing law and jurisdiction for that service (for example, Importa México's Terms specify Mexican law and the courts of Mexico City), in which case that specification governs the Specific Service under §2.
15. Contact
Questions or comments about these Terms may be sent to it@iordersmart.com, or to the contact address published by the relevant Specific Service (see §2).
